Terms & Conditions

These Terms & Conditions apply to services provided by New Thinking Ltd, trading as Clear Sales Message™ (“we”, “us” or “our”).

By purchasing, commissioning or agreeing to proceed with our services, you agree to these Terms & Conditions together with any proposal, scope of work or other written agreement provided for your project.

1. Our Services

Clear Sales Message™ provides sales messaging, strategy, consultancy, training and related professional services.

Our work is generally provided as fixed-scope projects.

The specific services, deliverables and scope applicable to your project will be set out in the relevant proposal, quotation, scope of work or other written agreement between us.

2. Project Scope

Each project is based on an agreed scope.

The scope will identify the work and/or deliverables included in the price.

Anything not expressly included within the agreed scope is not included in the project.

If you request additional work, deliverables, revisions or services outside the agreed scope, we may:

  • Provide a separate quotation
  • Agree an additional fee
  • Treat the additional work as a separate project
  • Decline the additional work

We will not be required to provide additional work without agreement.

3. Payment

Unless expressly agreed otherwise in writing, Clear Sales Message™ projects are payable 100% upfront.

Work will not normally begin until payment has been received in full.

Prices may be displayed or quoted exclusive of VAT. Where VAT applies, it will be added at the applicable rate.

You are responsible for ensuring that payment information and billing details provided to us are accurate.

4. Starting a Project

A project will normally be considered confirmed once:

  • The scope has been agreed
  • Any information reasonably required to begin has been provided
  • Full payment has been received

Any proposed start date or delivery timetable may depend on you providing information, materials, feedback or access reasonably required for us to complete the work.

5. Your Responsibilities

To enable us to provide the services effectively, you agree to:

  • Provide accurate and complete information
  • Provide requested materials within a reasonable timeframe
  • Respond to reasonable questions and requests for feedback
  • Ensure you have permission to provide any materials, information or intellectual property supplied to us
  • Review deliverables and provide feedback where required
  • Make decisions reasonably necessary for the project to progress

We are not responsible for delays caused by missing information, delayed responses, unavailable personnel or other matters within your control.

6. Timelines

Any delivery dates or project timelines provided are estimates unless expressly agreed in writing as fixed deadlines.

We will make reasonable efforts to deliver work within the anticipated timeframe.

Timelines may change where:

  • You delay providing information or feedback
  • The scope changes
  • Additional work is requested
  • Circumstances outside our reasonable control affect delivery

A delay does not automatically entitle you to a refund or cancellation.

7. Revisions

Any revisions included within a project will be described in the relevant proposal or scope.

Where a specific number of revisions is included, additional revisions may be charged separately.

A revision means a reasonable amendment to work already produced within the agreed scope.

A request that materially changes the original brief, direction, strategy or agreed deliverable may be treated as additional work rather than a revision.

8. Cancellations and Refunds

Because Clear Sales Message™ projects reserve professional time and involve bespoke work, planning and preparation, payments are non-refundable once the project has been commissioned, except where required by law or expressly agreed otherwise in writing.

If you decide not to proceed after commissioning the project, this does not automatically create a right to a refund.

Nothing in these Terms affects any statutory rights that cannot legally be excluded or restricted.

9. Results

Clear Sales Message™ provides professional sales messaging, strategy, consultancy and related services designed to improve the effectiveness of your sales and marketing communications.

However, we cannot guarantee any particular sales, revenue, profit, conversion or other commercial outcome.

Commercial results depend on numerous factors outside our control, including your:

  • Product or service
  • Market
  • Pricing
  • Reputation
  • Sales activity
  • Marketing
  • Implementation
  • Prospects
  • Competition
  • Commercial decisions

Case studies, testimonials, examples and previous client results demonstrate previous outcomes and do not guarantee that you will achieve the same or similar results.

10. Advice and Decisions

Our work represents our professional opinion, recommendations and guidance based on the information available to us.

You remain responsible for deciding whether and how to implement our recommendations.

You remain responsible for your own business, commercial, financial and legal decisions.

Our services do not constitute legal, financial, accounting, tax or other regulated professional advice.

11. Intellectual Property

Clear Sales Message™ owns or uses under appropriate licence the intellectual property contained within our pre-existing:

  • Methodologies
  • Frameworks
  • Processes
  • Models
  • Concepts
  • Training materials
  • Tools
  • Templates
  • Documents
  • Systems
  • Terminology

Unless expressly agreed otherwise in writing, these remain the intellectual property of New Thinking Ltd.

Commissioning a project does not transfer ownership of the underlying Clear Sales Message™ methodology, frameworks, systems or intellectual property.

12. Client Deliverables

Once the project has been paid for in full, you may use the final deliverables created specifically for your business for your own normal business and commercial purposes.

This may include using agreed messaging within your:

  • Website
  • Sales materials
  • Marketing
  • Proposals
  • Presentations
  • Advertising
  • Internal sales materials

This right does not give you permission to sell, license, teach, distribute or commercially exploit the underlying Clear Sales Message™ methodologies, frameworks, tools or training materials as standalone products.

13. Your Intellectual Property

You retain ownership of intellectual property and materials that you provide to us.

You give us permission to use those materials where reasonably necessary to perform the agreed services.

You confirm that you have the necessary rights or permissions to provide those materials to us.

14. Confidentiality

We will treat confidential business information you provide to us as confidential and will not knowingly disclose it to third parties except:

  • Where necessary to provide the agreed services
  • Where you have authorised disclosure
  • Where the information is already publicly available
  • Where disclosure is required by law

You agree to treat any confidential or proprietary Clear Sales Message™ materials provided to you on the same basis.

15. Portfolio, Testimonials and Case Studies

We may wish to refer to completed client work, feedback or results for marketing, portfolio, testimonial or case-study purposes.

Where doing so would involve confidential information, non-public commercial information or identifiable client results, we will obtain appropriate permission before publication.

Nothing in this section requires you to provide a testimonial or participate in a case study.

16. Third-Party Services

Our recommendations or deliverables may involve third-party platforms, software, suppliers or services.

Unless expressly included within the agreed project scope, you are responsible for selecting, purchasing and maintaining any third-party products or services required for implementation.

We are not responsible for changes, outages, pricing, policies or performance of third-party services outside our reasonable control.

17. Suspension or Termination

We may suspend or terminate a project where:

  • You materially breach these Terms
  • You engage in abusive, threatening or unlawful behaviour
  • You fail to provide information required to perform the work for an unreasonable period
  • Continuing the project would require us to act unlawfully or unethically

Where reasonably possible, we will attempt to resolve the issue before terminating a project.

Termination due to your breach does not automatically entitle you to a refund.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

To the fullest extent permitted by law, we will not be liable for indirect or consequential losses arising from the services or your implementation of our recommendations.

We will not be responsible for losses resulting from decisions or actions taken by you or third parties following completion of the project.

Where permitted by law, our total liability arising in connection with a particular project will not exceed the total amount paid to us for that project.

19. What To Say To Sell™

What To Say To Sell™ products and programmes may be subject to separate Terms & Conditions.

Unless expressly stated otherwise, guarantees, support arrangements or other terms associated with What To Say To Sell™, including the Until Guarantee™, do not apply to bespoke Clear Sales Message™ projects.

20. Privacy

We process personal information in accordance with our Privacy Policy.

21. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices or legal requirements.

For commissioned projects, the terms applicable will generally be those in effect when the project was commissioned, together with the agreed proposal or scope of work.

22. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any rights that cannot legally be excluded.
